Please read these terms carefully before placing an order with Measurement Systems Limited. By submitting a purchase order or confirming a quotation, you agree to be bound by these terms and conditions.

Measurement Systems Limited is headquartered in Kenya and operates through subsidiaries in Uganda, Rwanda and Malawi, supporting customers across the region under one coordinated group standard.

1. Ordering & Quotations

• All sales are conducted on a quotation basis. A formal quotation must be accepted in writing before an order is processed.
• Quotations are valid for 14 days from the date of issue unless otherwise stated.
• Prices in quotations are stated in the currency shown on the quotation. Kenya headquarters quotations are normally issued in Kenya Shillings (KES), while subsidiary quotations may use the applicable local currency or another expressly agreed currency.
• Measurement Systems Limited reserves the right to decline any order at its discretion.
• Custom-configured equipment (specific firmware, language, accessories) constitutes a binding order on acceptance and cannot be cancelled once placed with the manufacturer.

2. Payment Terms

• Payment is required in full before dispatch of goods unless a credit account has been formally approved.
• Accepted payment methods include bank transfer and approved local payment channels confirmed on the quotation or invoice.
• All bank charges are the responsibility of the buyer.
• For credit account holders, payment terms are 30 days net from invoice date unless otherwise agreed in writing.
• Late payment may attract interest at the applicable central bank reference rate plus 5% per annum, calculated daily unless otherwise stated in writing.

3. Delivery & Risk

• Delivery timelines are estimates and are not guaranteed unless expressly stated in the quotation.
• Risk in goods passes to the buyer on handover to the courier or on delivery to the buyer's nominated address.
• Title to goods passes to the buyer only on receipt of full cleared payment.
• Measurement Systems Limited is not liable for delays caused by customs clearance, force majeure or courier failures beyond our control.

4. Intellectual Property

• All software supplied with equipment remains subject to the manufacturer's end-user licence agreement (EULA).
• Buyers may not copy, reverse engineer or resell software except as expressly permitted by the EULA.
• All website content, product descriptions and documentation produced by Measurement Systems Limited is protected by copyright.

5. Warranties & Liability

• Equipment is warranted as described in our Returns & Warranty Policy. No additional warranties are implied.
• Measurement Systems Limited's total liability for any claim shall not exceed the purchase price of the equipment in question.
• We are not liable for consequential or indirect losses arising from equipment use, including survey errors, project delays or data loss.

6. Governing Law

These Terms and Conditions are governed by the laws applicable to the Measurement Systems Limited entity or subsidiary issuing the quotation or invoice. Disputes are subject to the competent courts of that jurisdiction unless otherwise agreed in writing.
